1. Agreement to These Terms
These Terms of Service form a binding agreement between you and Sad Ghost Ink Inc., a company located at 4-629 Rubidge St, Peterborough - K9H 4E9, Canada (CA). By using this website, requesting a quote, placing an order or otherwise engaging our services, you agree to be bound by these terms and by our Privacy Policy.
Please read these terms carefully before you place an order. If you do not agree with any part of them, do not use our services. If you place an order on behalf of a company or organization, you confirm that you have the authority to bind that entity to these terms, and the words you and your in these terms refer to both you and that entity.
We may update these terms from time to time. The version published on this website at the time you place an order is the version that applies to that order, unless we notify you of a change in writing.
2. About the Studio

The studio operates from this location and delivers across Canada and internationally where shipping partners permit. Some services may be subject to availability, and we will tell you clearly when a specific request falls outside our standard offering.
3. The Services We Provide
We provide printing, design and related production services based on the specific request you make. The exact scope of each project is defined by your order, our quote and any written agreement we sign for the job. A quote covers only the items it describes, and nothing else is included unless we confirm it in writing.
Our services are provided on a project by project basis. We do not promise continuous availability of any particular capability, and we may decline a project that we reasonably believe cannot be produced to an acceptable standard, that violates the law or that infringes the rights of a third party.
We may engage qualified subcontractors to complete parts of a project, such as specialized finishing or fulfillment. We remain responsible for the quality of the finished work delivered to you under these terms.
4. Eligibility
You may use our services only if you are at least eighteen years of age and legally able to enter into binding contracts. If you are placing an order for a business, you confirm that you are authorized to act for that business and to accept these terms on its behalf.
We do not knowingly accept work from individuals who are prohibited from engaging in commercial transactions. If we discover that an order was placed by someone without the authority to do so, we may cancel the order and return any payment made, subject to the other terms of this agreement.
You agree to provide accurate, current and complete information when you request a quote or place an order, and to update us promptly if any of that information changes before the order is completed.
5. Orders and Acceptance
A request for a quote is an invitation to us to prepare an estimate; it is not an order until we both agree. We accept an order when we confirm it in writing, which may be by email, by text or through a signed quote, and we confirm the price, quantity, specifications and delivery date that apply.
We reserve the right to refuse or cancel an order at any time for reasonable business reasons, including errors in pricing, inability to produce a requested item, or concerns about the legality or safety of the work. If we cancel an order after you have paid, we will refund any amount you have paid for that order.
Changes to an order after acceptance are handled as described in the sections on artwork, proofing and turnaround. Any change that affects production time or cost will be reflected in a revised quote, which must be accepted before we proceed with the change.
6. Quotes and Pricing
All prices are quoted in Canadian dollars unless we state otherwise in writing. A written quote is valid for the period stated on the quote, which is typically thirty days. If no period is stated, the quote is valid for thirty days from the date we issue it.
Our quoted prices are based on the specifications you provide, including quantities, sizes, colors, substrates and finishing. If the specifications change after the quote, or if your files require work beyond what the quote assumed, we will prepare a revised quote before continuing.
We work hard to keep prices stable, but costs for materials and freight can change. If a significant cost increase occurs after your quote and before production, we will notify you and give you the option to accept the new price or cancel without penalty.
7. Payment Terms
Payment terms are stated on your quote and order confirmation. Standard terms require full payment before production begins, or a deposit with the balance due before shipment, as agreed in writing. We accept payment by the methods listed on your invoice, including major credit cards and bank transfers.
If payment is not received by the agreed date, we may place production on hold, delay delivery or cancel the order. You are responsible for any fees charged by your bank or payment provider, and for any reasonable collection costs if we must recover an overdue balance.
We will provide a proper invoice for every order. If you believe an invoice contains an error, contact us within fourteen days of receiving it so that we can investigate and correct the record.
8. Artwork and File Requirements
You are responsible for providing artwork that is suitable for printing. We accept common formats including PDF, PNG, AI, PSD and vector EPS files. Files should be high resolution, with a minimum of 300 dpi at final print size, and should include any fonts used or text outlined to paths.
If your files do not meet our requirements, we will let you know and we will offer options, which may include having our design team fix the files for a stated fee. Work we perform to repair or rebuild artwork beyond what the quote assumed will be charged separately and confirmed with you first.
Files sent by clients remain the property of the client. We store artwork for the duration of a project and for a reasonable period afterward to support reorders, and we will delete or return files on request as described in our Privacy Policy.
9. Proofing and Approval
Before production, we provide a proof of your project where the process allows it. Proofs may be digital or physical, and they show layout, color and size as accurately as our equipment permits. Approval of a proof is your confirmation that the design, text and specifications are correct.
You must review proofs carefully. Once you approve a proof, we begin production, and errors that were visible in the approved proof are your responsibility. If you approve a proof and then request a change, the change is treated as a revision, which may affect cost and delivery date.
For processes where a physical proof is not practical, we will state that in advance and rely on a digital proof plus the calibrated color standards described on our services page.
10. Intellectual Property
Artwork, logos, fonts and designs you provide to us remain your property or the property of their owners. By providing artwork to us, you confirm that you own it or have the right to use and reproduce it, and that our use of it to produce your order will not infringe the rights of any third party.
Design work we create for you is licensed to you for the purpose of the project, and ownership transfers to you once your invoice for that design work is paid in full. Until payment is received, we retain the right to use the design in our portfolio and for our own promotion.
We may use examples of finished work, without revealing confidential business information, for our portfolio, on our website and in our marketing. If you prefer that we not display a project, tell us before production and we will respect your preference.
11. Client Responsibilities
You are responsible for providing complete and accurate information, including quantities, sizes, addresses and delivery instructions. You are responsible for supplying artwork that is authorized for use and technically suitable for the print process, and for responding to proof approvals, questions and revision requests within the timelines we communicate.
You are responsible for complying with all laws that apply to your content, including trademark, copyright and labeling regulations. Where your project involves regulated products, you confirm that the finished item will meet the requirements that apply to it.
Delays caused by missing information, late approvals or unavailable decision makers may shift the agreed delivery date. We will do our best to recover lost time, but we cannot guarantee the original date when the delay came from the client side.
12. Turnaround and Delivery
We publish standard turnaround times on our website and confirm a specific date for each order when we accept it. Standard turnaround is measured from the moment a proof is approved and any required payment or deposit is received, and it is confirmed on your order confirmation.
We make reasonable efforts to meet every confirmed date. Delays can be caused by events outside our control, including material shortages, equipment failure, shipping partner issues and force majeure events. If a delay occurs, we will tell you as soon as we know and give you a revised date.
Express and rush turnaround is available for many products, subject to an additional charge and to capacity at the time. The rush option must be confirmed in writing before production.
13. Shipping and Risk of Loss
Shipping is arranged by us or by you, as stated on the quote. Where we arrange shipping, we charge the shipping rate quoted to you and we will provide tracking when the carrier provides it. Shipping charges are estimates and may be adjusted to the actual cost for oversized or remote deliveries.
Risk of loss transfers to you when your order is handed to the carrier, except where we have agreed in writing to remain responsible until delivery. Please inspect your shipment on arrival and report any damage or shortage to us and to the carrier within the carrier claim period.
For international shipments, you are responsible for customs duties, taxes and import requirements. We will include the paperwork required for export, but we cannot predict or control how a destination country applies its customs rules.
14. Returns, Corrections and Rejected Work
Because printed goods are produced to your specifications, we do not accept returns simply because a design decision no longer suits you. If we make an error that departs from the approved proof or the confirmed specifications, we will reprint the affected pieces or provide a credit, at our option, provided you report the problem within fourteen days of delivery.
Minor variations in color, registration and finish are a normal part of printing and are not defects. Color match is measured against our proofing standard and approved proofs, and slight differences between a digital screen and a printed sheet are expected.
Before we reprint or credit, we may ask for photos or a sample of the affected pieces so that we can verify the issue. We will not credit work that was produced according to an approved proof, that was altered after delivery or that failed because of misuse.
15. Warranties
We warrant that our work will be produced in a workmanlike manner and will conform to the approved proof and the confirmed specifications. This warranty covers the pieces we deliver, and it is the only warranty we make for our production services.
Except as stated above, our services and any materials we supply are provided as is and as available, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non infringement. We do not warrant that the website will be uninterrupted or free of errors.
Substrates and materials provided by suppliers carry the suppliers warranty only, and we pass through any manufacturer warranty that applies to the products you purchase from us. We recommend you review garment care and product care instructions provided with each item.
16. Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or related to these terms, a quote, an order or the services, whether in contract, tort or otherwise, will not exceed the amount you paid for the specific order that gave rise to the claim.
In no event will we be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, loss of data, loss of goodwill or cost of substitute services, even if we were advised of the possibility of such damages.
Because some jurisdictions do not allow the exclusion or limitation of certain damages, parts of this section may not apply to you. In those jurisdictions, our liability is limited to the greatest extent permitted by law. The limitations in this section apply regardless of the cause or form of the claim.
17. Indemnification
You agree to defend, indemnify and hold harmless Sad Ghost Ink Inc., its officers, employees and subcontractors from and against any claims, damages, liabilities, costs and expenses, including reasonable legal fees, arising out of or related to your use of our services, the content you provide, or your breach of these terms.
This includes claims that the artwork or content you supplied infringes the intellectual property rights of a third party, that your content violates a law or regulation, or that your use of the finished product caused harm to a third party.
We will notify you promptly of any claim subject to indemnification, give you control over the defense and settlement of the claim, and cooperate with you at your expense. This section survives the termination of these terms.
18. Termination
You may cancel an order before production begins by contacting us in writing. If production has not started, we will refund any payment made, less any reasonable costs we have already incurred for your order, such as materials ordered on your behalf.
We may suspend or terminate our engagement with you if you fail to pay an invoice when due, if you breach these terms, or if we reasonably believe continued work is not safe, legal or practical. In that case, we will invoice you for work completed to date and materials ordered, and we will deliver finished work or materials that you have paid for.
Sections of these terms that by their nature should survive termination, including intellectual property, warranties, limitation of liability and indemnification, will continue to apply after termination.
19. Governing Law and Disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules. You agree that the courts of Ontario will have exclusive jurisdiction over any dispute arising from these terms or from our services.
Before filing any claim, you agree to contact us and attempt to resolve the matter informally for a period of at least thirty days. We make the same commitment to you. Most disagreements about print work are resolved quickly once the details are shared openly.
If a dispute cannot be resolved informally, you agree that any legal action will be brought in the courts of Peterborough, Ontario, and you consent to the personal jurisdiction of those courts for this purpose.
20. Severability and Waiver
If any provision of these terms is found to be invalid, illegal or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Our failure to enforce any provision of these terms, or to exercise any right, does not waive that provision or right. A waiver is effective only if it is in writing and signed by the party granting it.
These terms, together with any written agreement for a specific project, constitute the entire agreement between you and Sad Ghost Ink Inc. regarding the subject matter, and they supersede all prior discussions, proposals and agreements.
21. Changes to These Terms
We may revise these terms from time to time to reflect changes in our services, our practices or the law. When we make a material change, we will update the last updated date at the top of this page and we may post a notice on the website.
The terms in effect at the time an order is accepted govern that order, even if the terms are revised before the order is completed. For ongoing services such as merchandise programs, we will notify you of any material change to the terms that govern the program.
We encourage you to review these terms periodically. Your continued use of our services after a revision takes effect means you accept the revised terms for new orders placed after that date.
